Services may be delivered directly by Divyaa Jain and/or through Ebiziwide LLP depending upon:

- contractual requirements,
- operational structure,
- invoicing arrangements,
- and applicable statutory or compliance requirements.
By accessing the Website or engaging with any services, you agree to these Terms & Conditions.
1. Scope of Services
Services may include:

- corporate training,
- event anchoring/moderation,
- consulting,
- coaching,
- educational sessions,
- podcasts,
- entrepreneurship mentoring,
- leadership development,
- books,
- blogs,
- webinars,
- digital products,
- and related professional services.
2. Nature of Services
All services, workshops, educational resources, coaching sessions, speaking engagements, podcasts, books, blogs, consulting sessions, and digital materials are intended for:
- educational purposes,
- informational purposes,
- professional development,
- communication enhancement,
- leadership development,
- and entrepreneurial/business guidance.
Nothing shared shall be interpreted as:
- legal advice,
- medical advice,
- therapy,
- investment guarantees,
- financial guarantees,
- or guaranteed business outcomes.
Clients remain solely responsible for implementation, interpretation, and business decisions.
3. Booking & Engagement Confirmation
Engagements shall be considered confirmed only after:
- written confirmation,
- proposal acceptance,
- invoice approval,
- advance payment,
- signed agreement,
- or formal onboarding,
as applicable.
4. Billing, Invoicing & Compliance
Depending upon:
- engagement structure,
- operational requirements,
- contractual arrangements,
- invoicing needs,
- and applicable statutory compliance,
services may be operationally executed and invoiced directly by Divyaa Jain and/or through Ebiziwide LLP.
Corporate/institutional clients may separately require:
- vendor onboarding,
- compliance documentation,
- NDAs,
- contracts,
- procurement formalities,
- or GST-compliant invoicing where applicable.
Applicable:
- taxation,
- statutory deductions,
- invoicing structures,
- and payment compliance
shall be governed as per applicable Indian laws.
Clients remain responsible for:
- providing accurate billing details,
- statutory deductions where applicable,
- and compliance with their internal procurement/payment processes.
5. Corporate Training & Workshop Terms
Organizer Responsibilities
Organizers remain responsible for:
- venue arrangements,
- permissions/licenses,
- attendee management,
- technical setup,
- safety compliance,
- operational logistics,
- and event management.
The Service Provider shall not be liable for organizer-side operational failures.
Session Outcomes Disclaimer
Results vary depending upon:
- participant involvement,
- implementation,
- organizational culture,
- leadership support,
- market conditions,
- and external factors.
No guarantees are provided regarding:
- business growth,
- employee performance,
- communication improvement,
- audience response,
- revenue outcomes,
- or organizational transformation.
Participant Conduct
The Service Provider reserves the right to:
- discontinue sessions,
- terminate engagements,
- refuse participation,
- or leave the venue/platform
in cases involving:
- harassment,
- abuse,
- discrimination,
- hostile environments,
- unethical conduct,
- intoxication,
- or safety concerns.
No refunds shall apply in such situations.
6. Speaker, Moderator & Event Terms
Unless otherwise agreed in writing:
- speaking style,
- moderation approach,
- anchoring structure,
- audience interaction,
- and communication delivery
remain under the professional discretion of Divyaa Jain.
The Service Provider shall not be liable for:
- audience interpretation,
- social media reactions,
- media commentary,
- public opinions,
- or misuse of event recordings/content.
7. Recording & Media Usage
Events, podcasts, interviews, webinars, workshops, speaking engagements, and training sessions may be:
- photographed,
- recorded,
- documented,
- archived,
- or partially reproduced
for:
- educational,
- branding,
- promotional,
- portfolio,
- marketing,
- and social media purposes
unless restricted through prior written agreement.
Unauthorized editing or misleading representation of recordings/content is prohibited.
8. Intellectual Property Rights
All:
- books,
- blogs,
- frameworks,
- podcasts,
- workshops,
- presentations,
- training materials,
- scripts,
- methodologies,
- graphics,
- templates,
- speaker notes,
- videos,
- written content,
- event structures,
- and digital resources
remain exclusive intellectual property of Divyaa Jain and/or Ebiziwide LLP unless otherwise stated.
Unauthorized:
- copying,
- redistribution,
- republication,
- resale,
- plagiarism,
- AI training usage,
- commercial exploitation,
- or dataset creation
is prohibited without prior written authorization.
9. Independent Professional Opinions
Views, examples, frameworks, interpretations, case studies, and perspectives shared during:
- workshops,
- podcasts,
- books,
- speaking engagements,
- interviews,
- blogs,
- coaching sessions,
- consultations,
- or public discussions
represent independent professional perspectives intended for educational and professional discussion purposes only.
10. Confidentiality
Reasonable confidentiality shall be maintained regarding:
- consultations,
- strategic discussions,
- participant information,
- and organizational interactions.
However:
- complete confidentiality over digital platforms cannot be guaranteed,
- and the Service Provider shall not be liable for unauthorized disclosures beyond reasonable control.
Separate NDAs may be executed where required.
11. Fees, Refunds & Cancellations
Unless otherwise agreed:
- advance payments are non-refundable,
- rescheduling depends upon availability,
- short-notice cancellations may attract charges,
- and failure to attend does not guarantee refunds.
The Service Provider reserves the right to reschedule or cancel engagements due to:
- illness,
- emergencies,
- force majeure,
- safety concerns,
- or unavoidable circumstances.
Maximum liability shall remain limited to the professional fee received for the relevant engagement.
12. Force Majeure
Neither party shall be liable for delays/failures caused by:
- natural disasters,
- pandemics,
- internet outages,
- government restrictions,
- riots,
- war,
- transport disruptions,
- civil disturbances,
- or circumstances beyond reasonable control.
13. Misuse, Defamation & Reputation Protection
Users, participants, or third parties may not:
- spread false allegations,
- manipulate recordings/content,
- misuse proprietary materials,
- impersonate,
- damage brand reputation maliciously,
- or engage in cyber abuse.
Appropriate legal action may be initiated wherever required.
14. Limitation of Liability
Divyaa Jain and/or Ebiziwide LLP shall not be liable for:
- indirect losses,
- emotional distress,
- implementation failures,
- technical interruptions,
- business losses,
- organizational disputes,
- audience reactions,
- or consequential damages.
Maximum liability, if legally established, shall not exceed the amount paid for the relevant engagement/service.
15. Governing Law & Jurisdiction
These Terms & Conditions shall be governed under the laws of India.
All disputes shall fall under the exclusive jurisdiction of courts located in Gurugram, Haryana, India.
16. Amendments
These Terms may be modified or updated without prior notice.
Continued use of the Website or services implies acceptance of revised Terms.
